Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the CentricOS website, platform, and related services (collectively, the “Services”), operated by CentricOS (“CentricOS,” “we,” “our,” or “us”). By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization. If you do not agree to these Terms, you may not access or use the Services.

Centric provides a no-code AI platform designed to help businesses analyze data, automate workflows, and enable AI-powered business processes. The Services may include software tools, configuration interfaces, dashboards, integrations, documentation, and related features.

Centric may improve, modify, suspend, or discontinue any part of the Services at any time.

You must be legally capable of entering into binding agreements. You are responsible for:

• Maintaining the confidentiality of account credentials
• All activity that occurs under your account
• Ensuring compliance with applicable laws

You must notify Centric of any unauthorized access or security incident immediately.

You agree to use the Services solely for lawful business purposes. You may not:

• Engage in unauthorized access or attempt to circumvent security measures
• Disrupt or interfere with the integrity or performance of the Services
• Use the Services for malicious, fraudulent, or illegal activity
• Misuse or abuse the Services in any manner that violates these Terms

Customer data typically remains within the customer's own infrastructure, with an optional Centric-managed environment available. You retain all rights to your data.

Centric processes data only to provide and improve the Services in accordance with its Privacy Policy.

AI outputs are probabilistic and may not be accurate. All outputs provided by the Services are advisory only. You remain solely responsible for any decisions made using the Services and should apply appropriate human judgment before acting on AI-generated results.

Centric retains all rights, title, and interest in and to the Services, including all underlying software, models, interfaces, and documentation. These Terms grant you a limited, non-exclusive, non-transferable right to use the Services solely as permitted herein.

Each party agrees to protect the other's confidential information using at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care. Confidential information may not be disclosed to third parties without prior written consent.

The Services may integrate with or link to third-party services. Such third-party services are governed by their own terms and privacy policies. Centric is not responsible for the availability, accuracy, or practices of any third-party services.

Certain Services may require payment or be offered under trial terms. Pricing and subscription details are provided separately at the time of purchase or enrollment. Trial access may be modified or terminated at any time.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, CENTRIC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CENTRIC'S TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE TWELVE MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL CENTRIC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

You agree to indemnify, defend, and hold harmless Centric and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Services or your violation of these Terms.

Centric may suspend or terminate your access to the Services at any time for violations of these Terms, security concerns, or other legitimate business reasons, with or without prior notice.

Your use of the Services is subject to CentricOS's Privacy Policy, which is incorporated into these Terms by reference.

Centric may update the Services or these Terms at any time. When we make material changes, we will update the effective date above. Your continued use of the Services after any such changes constitutes your acceptance of the updated Terms.

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms shall first be subject to good-faith negotiation. If unresolved, the dispute shall be submitted to binding arbitration in accordance with applicable rules.

The Services are operated from the United States. If you access the Services from outside the United States, you are responsible for compliance with all applicable local laws and regulations.
